Terms of Service

1. Nature of the Service

Ridgeline by Oakridge Financial Planning LLC ("OFP," "we," "us") is a financial data visualization platform. The Ridgeline by OFP (Ridgeline Terminal) provides proprietary market analysis tools, including but not limited to overlays, bulk ticker analysis, custom indicators, and more. Ridgeline by OFP is an educational and informational tool only.

2. Financial Advice Disclaimer

While Oakridge Financial Planning LLC is a Registered Investment Advisor in the states of Texas and Idaho, the Ridgeline by OFP terminal software and its outputs do not constitute investment, financial, legal, or tax advice.

The use of the Ridgeline Terminal does not establish an advisory relationship between the user and Oakridge Financial Planning LLC. No content, tools, or proprietary indicators provided within the platform should be construed as a recommendation to buy, sell, or hold any specific security or financial instrument.

All trading involves significant risk. You acknowledge that any trades placed based on information from the Ridgeline Terminal are taken at your own risk. Past performance is not indicative of future results.

3. Subscriptions, Billing, and Cancellations

Access to the Ridgeline Terminal is provided on a subscription basis (Monthly or Yearly).

• Stripe Processing: All payments are managed via Stripe. OFP LLC does not store sensitive financial data.
• Cancellations: You may cancel anytime via the customer portal. Access continues until the end of your paid period. We do not provide pro-rated refunds.
• Promotional Rates & Continuity: Special discounts, including the "Founder's Circle" and Influencer-specific promotions, are contingent upon maintaining an active, uninterrupted subscription.
• Continuity Requirement: Lifetime or "Price Locked" discounts remain valid only as long as your subscription remains continuously active. Any "Service Break"—including manual cancellation, expiration, or payment failure—results in the immediate and permanent forfeiture of the promotional rate. Re-subscribing after a break will require payment at the then-current market price.

4. Limitation of Liability

To the maximum extent permitted by law, OFP LLC shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Terminal. In no event shall our total liability to you exceed the total amount paid by you to OFP LLC for the service during the twelve (12) months prior to the claim.

5. "As-Is" Warranty Disclaimer

The Ridgeline Terminal is provided "As-Is" and "As-Available." We disclaim all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

6. Governing Law & Dispute Resolution

These Terms shall be governed by the **laws of the State of Texas**. Any dispute arising from these terms shall be resolved through **binding arbitration in Texas** administered by the American Arbitration Association (AAA). You agree to waive any right to participate in a class-action lawsuit.

7. Indemnification

You agree to indemnify, defend, and hold harmless Oakridge Financial Planning LLC and its officers, directors, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Ridgeline Terminal; (ii) your violation of any term of these Terms of Service; or (iii) your violation of any third-party right, including without limitation any intellectual property or privacy right.

8. Intellectual Property & Prohibited Conduct

The Ridgeline Terminal, including but not limited to its source code, proprietary algorithms, mathematical models, "Overlays," user interface design, and all underlying logic, is the exclusive intellectual property of OFP LLC.

You are strictly prohibited from:

• Reverse Engineering: You may not decompile, disassemble, or attempt to derive the source code or underlying logic of the Terminal.
• Reproduction & Derivation: You may not reproduce, copy, modify, or create derivative works based on our proprietary indicators or software architecture.
• Data Extraction: You may not use any automated systems, "scraping," or manual processes to extract data or signals for use in external applications.
• Commercial Use: You may not sell, lease, or redistribute the signals, data, or visualizations provided by Ridgeline to any third party.
• AI Training: You may not use the Terminal's outputs to train or validate any machine learning or artificial intelligence models.

Violation of this section constitutes a material breach of these Terms and may subject the user to legal action for copyright and trade secret infringement.
